By downloading, installing, or using the Quotaly mobile application or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Quotaly ("we", "our", or "us"). We reserve the right to update these Terms at any time. We will notify you of material changes by updating the date at the top of this document.

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and that all information you provide is accurate and complete.

If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

To access certain features, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe pose a security risk.

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to create fraudulent, deceptive, or misleading documents.
• Attempt to gain unauthorised access to any part of the Service or its related systems.
• Reverse engineer, decompile, or disassemble any part of the app.
• Use the Service in any way that could damage, disable, or impair its functionality.
• Use automated tools or bots to access the Service without our written permission.
• Violate any applicable local, national, or international laws or regulations.

You retain full ownership of all content you create using the Service, including quotes, invoices, client data, and catalog items ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely to provide the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. We do not review or verify the accuracy of any financial figures, tax calculations, or legal terms you include in your documents.

The Service, including its design, software, brand, and all content created by us, is owned by Quotaly and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our name, logo, trademarks, or other proprietary materials without our prior written consent.

The core features of Quotaly are provided free of charge. We may introduce premium features or subscription plans in the future. If we do, we will notify you in advance and provide clear information about pricing before any charge is applied.

Any paid features will be subject to additional terms presented at the time of purchase.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Quotaly-generated documents are tools to assist you — they do not constitute legal or financial advice.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUOTALY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50.

You agree to indemnify, defend, and hold harmless Quotaly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service ceases immediately. Sections 5, 6, 8, 9, and 10 survive termination.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.
